Terms of Use

1. Parties and Scope

These Terms of Use ("Terms") govern the principles regarding the use of the services provided by the Zekiya platform ("Platform"), between the Platform and the member who registers with or uses the Platform ("Member").

By registering with or using the Platform, you are deemed to have declared that you have read, understood and fully accepted these Terms. If you do not accept the Terms, you should not use the Platform.

2. Definition of the Service

The Platform provides its members with the following services:

• AI-powered website setup (Site Setup AI Assistant)
• An AI Assistant service that communicates 24/7 with visitors on member sites
• Facebook and Instagram ad management for Pro and Business members
• AI-generated ad visuals and copy
• Personalized ad suggestions via WhatsApp every morning
• Ad performance tracking and reporting

The scope of the services varies according to the chosen membership package (Starter / Pro / Business). Current package contents and prices are available on the Platform's packages page.

3. Membership Conditions

• You must be at least 18 years old to become a member of the Platform.
• The Member undertakes that the information provided during registration is accurate, current and complete.
• Membership credentials (email, password) belong solely to the Member; they cannot be shared with third parties.
• The Member is responsible for account security and all transactions made through the account.
• The Platform may request identity verification where it deems necessary.

4. Membership Packages and Payment

Payments are taken via the PCI-DSS compliant Iyzico infrastructure. The Member's card details are not stored by the Platform. The subscription renews automatically at the end of the chosen period; the Member can stop the renewal at any time.

5. Ad Service and Budget (Pro / Business)

• The minimum ad budget load amount is 500 ₺.
• 20% of the loaded budget is collected as the Platform service fee at the time of payment.
• The remaining 80% is transferred to Meta (Facebook/Instagram) for ad publishing.
• When the ad balance runs out, ads stop automatically.
• The Member sets the daily budget with the AI Assistant to keep ads within this limit.
• A commission-free ad budget support of 100 ₺ per month for Pro members and 200 ₺ for Business members is provided.
• The Platform can stop active ad campaigns instantly with the "Emergency Stop" button.

6. Refund and Cancellation Terms

Pursuant to Law No. 6502 on the Protection of the Consumer and the Distance Contracts Regulation:

• The right of withdrawal ends once the provision of digital content and services begins with the Member's consent.
• The Member can cancel their membership subscription at any time from the panel; service continues until the end of the current period.
• Portions of the ad budget not yet transferred to Meta are refunded upon an account closure request.
• The 20% commission collected as a service fee is non-refundable.
• For refunds arising from service errors or technical issues, an application is made to [email protected].

7. Member Obligations

While using the Platform, the Member agrees to comply with the following rules:

• Not to publish content contrary to laws, public order and general morality.
• Not to use content that infringes the copyright, trademark or personality rights of third parties.
• Not to make misleading, false or fraudulent product/service promotions.
• Not to publish content contrary to Meta ad policies (weapons, counterfeit products, gambling, etc.).
• Not to engage in actions that would harm the Platform infrastructure (bot traffic, API abuse, vulnerability probing).
• Not to attempt to artificially/deceptively alter system messages with the AI Assistant (prompt injection).

If a breach of these rules is detected, the Platform reserves the right to send warnings, remove content, stop ads, suspend the account, or close it permanently.

8. Intellectual Property Rights

All software, design, templates, trademarks, logos and content on the Platform belong to the Platform or its licensors. The Member has the right to use the Platform only to benefit from the services within the scope of membership.

The content the Member uploads to the Platform (text, images, product information, etc.) remains the Member's property. The Member consents to the processing of this content by the Platform for the purpose of providing the service, its publication on the member site, and its transmission to the necessary third parties (Meta, Canva, AI Service Provider, etc.).

9. Limitation of Liability

• The Platform declares that the service is offered with a 99.5% uptime target; however, it does not guarantee uninterrupted service.
• The Platform cannot be held directly responsible for outages or errors in third-party services (Meta, Iyzico, AI Service Provider, Canva, WhatsApp, Natro hosting).
• The accuracy/tone of AI-generated content must be reviewed by the Member; final approval rests with the Member.
• The Platform assumes no responsibility if ads are rejected or taken down by Meta.
• The Platform's total liability is limited to the membership fee paid by the Member in the last 12 months.

10. Termination of the Agreement

• Subscription cancellation: The Member can terminate their subscription at any time from the panel. Service continues until the end of the current period; at the end of the period the subscription ends automatically.
• Account deletion: The Member can permanently delete their account via Panel → My Account → Danger Zone. For security, the process has 2 stages: first confirmation with password + clicking the link sent by email within 24 hours, then a 7-day waiting period. During the waiting period the Member can log in and cancel the request. After 7 days, the automated system anonymizes personal data and deletes content (site, products, AI Assistant, images). Details: KVKK § 7.1.
• Data retention: When the account is deleted, personal data is anonymized; payment and invoice records are kept anonymously for 10 years as required by tax legislation (Tax Procedure Law Art. 253), and security audit records for 2 years.
• Ad balance: Any remaining unused ad balance (excluding gift balances) at the time of account deletion or subscription termination is refunded to the Member within the framework of the refund rules. The refund is made with admin approval.
• Termination on breach: In case of a breach of these Terms, the Platform may suspend or terminate the membership by notifying the Member in advance.

11. Changes to the Terms

The Platform reserves the right to change these Terms with prior notice. Changes are announced to the Member on the Platform and/or via the registered email address. A Member who continues to use the Platform after the changes take effect is deemed to have accepted the updated Terms.

12. Governing Law and Competent Court

These Terms are subject to the laws of the Republic of Turkey. The Istanbul Central Courts and Enforcement Offices have jurisdiction over disputes arising from the Terms. For members who qualify as consumers, the Consumer Arbitration Committees and Consumer Courts provided for in the relevant legislation have jurisdiction.
